• 論文抄録 / 内容記述: 日本国内企業が関わる M&A （合併と買収） は増加傾向にあり，またグローバル市場で生き残るための業界再編や国外企業への M&A など，合併 ・買収にかかる金額も大きくなっている．このような大規模な M&A では，シナジー効果の創出のため，情報システムの統合など IT に対する大きな変化も伴うが，組織自体も大きく変わる中で，内在する IT リスクに対して経営陣が適切に判断，行動するかといった ” ITガバナンス” について研究された例は多くない．本稿では，M&A に伴って行われた情報システムの統合事例を題材に，M&A の局面における IT ガバナンス （経営者の行動） について提言する．

• 論文抄録(英) / 内容記述: M & As (mergers and acquisitions) involving Japanese companies are on the rise, and the amount of mergers and acquisitions has increased as industry restructuring to survive in the global market and M & A to foreign companies increase. Such a large-scale M & A involves major changes to the organization and significant changes to IT such as integration of information systems to create synergy effects. However there have not been many studies on IT governance such as "How management should determine the inherent IT risks and act appropriately during corporate M & A. In this paper, we propose IT governance (management's behavior) in the M & A phase on the basis of information system integration cases conducted in conjunction with M & A.
